Project astract (1) The framework contract lays down the general terms of cooperation between SAP and the University with respect to the research and development work to be carried out for SAP by the University. The subject of the research and/or development work to be carried out by the University and the precise scope of the work to be carried out by the University shall be defined in individual contracts. The individual contracts shall describe as detailed as possible the contractual targets to be achieved, and in particular shall stipulate which targets are hereby set and which requirements the results and final reports to be provided by the University must satisfy. In principle, the following points must be included in the individual contracts:<br/><br/>- Description of the overall project or of definable subprojects;<br/>- Scope and limit of the work;<br/>- Schedule with all deadlines; <br/>- Managers, the representatives thereof and contacts as well as all names of the persons responsible for the organization and performance of the individual contract in question;<br/>- Fixed prices for entire project or subprojects, other remuneration;<br/>- Mode of payment;<br/>- Delivery of works with dates;<br/>- Type/scope of training and documentation;<br/>- Testing and acceptance agreements.<br/><br/>If required, the following additional points may, inter alia, be agreed:<br/><br/>- Technical and organizational requirements;<br/>- Agreements on the use of development hardware/software;<br/>- Rules for the workplace.<br/><br/>(2) However, the contract partners agree that in particular cases the definition of individual process steps for the research and development work to be carried out by the University may under certain circumstances be laid down only during performance of the individual contract. Each contract partner is obliged to assist in defining such process steps during performance of the contract, in compliance with the contract targets, the partial performance provided to that point and the principle of good faith.<br/><br/>(3) The University or SAP has no right to the conclusion of one or more individual contracts on the basis of this framework contract.<br/>
